ITEM 5.02.		Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

     On February 24, 2006, David L. Messenger, the Vice President and Controller of United Dominion Realty Trust, Inc. (the “Company”), was appointed Vice President and Chief Accounting Officer of the Company effective March 15, 2006. Mr. Messenger, age 35, joined the Company in 2002 as Vice President and Controller. From April 2000 to the time he joined the Company in 2002, Mr. Messenger was the owner and president of TRC Management Company, a restaurant management company. Previously, Mr. Messenger was a manager at Ernst & Young LLP in their real estate division.

     Mr. Messenger will serve as Vice President and Chief Accounting Officer at the discretion of the Company’s Board of Directors. No family relationship exists between Mr. Messenger and any of the Company’s directors or executive officers.
