ARCADIS COMPLETES ACQUISITION OF AYH
ARNHEM, THE NETHERLANDS June 23, 2005 ARCADIS (NASDAQ: ARCAF, EURONEXT: ARCAD), the international consultancy and engineering company, announced today that it has received acceptances in relation to more than 90% of the shares of AYH plc (AYH). As a result, the offer for AYH has become wholly unconditional, which means that ARCADIS can complete the acquisition and acquire 100% of the shares. AYH specializes in project consulting, cost control and consultancy services for real estate and property development for private and public clients. With AYH, ARCADIS adds 340 people and gross revenues of GBP 25 million. ARCADIS will pay GBP 16 million with an earn-out component that can reach a maximum of GBP 5 million.
We are extremely pleased that the 90% acceptance threshold has been reached well before the closing date of the offer, said Harrie Noy, chairman of the Executive Board of ARCADIS. This allows us to move quickly such that we can start reaping the benefits from the relationship right away.
