ITEM 8.01 Other Events.
On December 21, 2005 the Registrant issued a press release announcing that it had reviewed a press release issued by Ensource Energy Income Fund LP on or about December 14, 2005, and that nothing in the press release had caused the Registrant to change its recommendation that Unitholders not tender their units in the exchange offer. A copy of the Registrant’s press release is attached as Exhibit 99.1 and is incorporated by reference into this Item 8.01
