In this Current Report on Form 8-K (Form 8-K), “Reliant Energy” refers to Reliant Energy, Inc., and “we,” “us” and “our” refer to Reliant Energy and its subsidiaries.

Item 7.01.  Regulation FD Disclosure.

On February 6, 2007, Mark Jacobs, our Chief Financial Officer, will make a presentation at the Credit Suisse Energy Summit Conference.  During this presentation, Mr. Jacobs will disclose that as of December 31, 2006, we expect adjusted net debt to be $3.1 billion, total debt to be $3.5 billion and capital committed to collateral to total $814 million (which includes letters of credit).  Mr. Jacobs will also state that we will continue to rationalize assets in less attractive markets and pursue a transfer of our Channelview, Texas plant to improve financial flexibility.

The reconciliation of expected December 31, 2006 adjusted net debt to the most comparable GAAP measure, total debt, is furnished as exhibit 99.1 to this Form 8-K.
