Due to certain information not being currently available the Form 10-Q cannot be
completed in the time frame required for filing.

         For the quarter ended January 31, 2001, based on currently available
         information on Quentra's Network Systems, Inc. financial status as
         regards the assets and liabilities in bankruptcy, the Company will take
         a charge to income, which will result in a write down of the Note
         Receivable as previously reflected on the Balance Sheet at $950,000.

         In light of the additional time required by the Registrant to finalize
         the Form 10-Q, a reasonable estimate of this write down cannot be made
         at this time.
