On February 14, 2014, Ventas, Inc. (the “Company”) issued a press release announcing its results of operations for the quarter and year ended December 31, 2013.  A copy of the press release is furnished herewith as Exhibit 99.1 and incorporated in this Item 2.02 by reference.

On February 14, 2014, the Company also announced that its Board of Directors declared a regular quarterly dividend of $0.725 per share, payable in cash on March 28, 2014 to stockholders of record on March 7, 2014.
