Item 2.02. Results of Operations and Financial Condition.

On August 9, 2006, Microtune, Inc. (the “Company”) issued a press release disclosing that the Company had filed a notification of late filing on Form 12b-25 with respect to the Company’s Quarterly Report on Form 10-Q for the period ended June 30, 2006.

In accordance with General Instruction B.2 of Form 8-K, the information set forth in this Item 2.02 shall be deemed to be “furnished” and shall not be deemed to be “filed” for purposes of the Exchange Act of 1934, as amended.
