Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 9, 2007, the Board of Directors of Microtune, Inc. (the “Company”), upon the Compensation Committee’s recommendation, approved the payment of special cash bonuses to three officers of the Company in recognition of their extraordinary efforts and contributions in 2006 relating to the previously announced restatement of the Company’s consolidated financial statements. The only named executive officer being awarded this special recognition bonus, Jeffrey A. Kupp, Chief Financial Officer, will receive a cash award of $25,000. The aggregate amount awarded to the two other officers receiving this special recognition bonus is $50,000.
