PNC has adopted new forms of agreements for its use for grants under its 2006 Incentive Award Plan. These include, in addition to the forms previously filed, the form of stock option agreement and form of restricted stock agreement attached hereto as Exhibit 10.50 and Exhibit 10.51, respectively. These exhibits are incorporated herein by reference. These attached agreement forms are substantially similar to forms already in use but provide more flexibility than earlier forms for varied vesting schedules or circumstances to be specified in individual grants.
