Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(b) On April 17, 2008, David Hartoch, a director of Argo Group International Holdings, Ltd. (“the Company”), notified the Company that he was resigning from the Company’s board of directors, effective as of April 21, 2008. His decision to resign from the Company’s board of directors did not involve any disagreement with the Company, the Company’s management or the Company’s board of directors.

On April 22, 2008, Charles W. Weaver resigned, effective immediately, from his position as Argo Group US, Inc.’s Senior Vice President of Claims. Mr. Weaver’s resignation was given in connection with his retirement from Argo Group US, Inc., which will occur following a transition period.
