Bonus Program
At a meeting held on September 4, 2008, the Board of Directors of NCI Building Systems, Inc. (“NCI”) approved an amendment to NCI’s Bonus Program (the “Program”). The Program was amended to provide for the placement of Level IV participants into multiple categories with graduated levels of bonuses.
Deferred Compensation Plan
The Board also approved an amendment to the NCI Building Systems, Inc. Deferred Compensation Plan to raise the annual minimum aggregate deferral election amount from $2,000 to $5,000.
