| Item 1.01 | Entry into a Material Definitive Agreement |
On May 26, 2016, Verisk Analytics, Inc. (the “Company”) entered into the Second Amendment (the “Second Amendment”) to the Second Amended and Restated Credit Agreement dated April 22, 2015 among the Company and the lenders and agents party thereto. The Second Amendment provided for a decrease of the total committed revolving credit facility from $1,750,000,000 to $1,500,000,000, the extension of the maturity date to May 15, 2021, the amendment of the definition of applicable rate and the corresponding pricing grid, and the addition of customary EU Bail-In provisions. All borrowings under the credit facility shall continue to remain unsecured.
