Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 24, 2017, Navigant Consulting, Inc. (the “Company”) made certain organizational changes to more closely align its leadership team with the needs of the business and its long-term strategic initiatives. In connection with these changes, Lee A. Spirer will serve in a newly created role as Executive Vice President and Chief Growth and Transformation Officer, overseeing strategy and corporate development; sales, marketing and solutions; and innovation and digital transformation functions at the Company. No changes were made to Mr. Spirer’s compensation as a result of his acceptance of this new role.
