Item 5.02. Departure of Directors or Principal Officers: Election of Directors; Appointment of Principal Officers.


Allen W. Ritchie resigned his position as Executive Vice President and Chief Financial Officer of the Company on September 10, 2006. It is anticipated that Mr. Ritchie will continue with the Company for a brief transition period.
