Item 8.01

Other Events.

Legg Mason, Inc. (the "Company") has agreed to settle the civil copyright infringement lawsuit that was discussed in its prior public filings. The Company had appealed the judgment against it in the case to the Fourth Circuit Court of Appeals and the settlement was reached prior to any ruling by the court. As a result of this settlement, the Company will reverse, in the quarter ended June 30, 2005, approximately $8.2 million in previously recorded litigation award expenses related to the case.
