Item 8.01 OTHER EVENTS
On January 6, 2005, National Semiconductor Corporation issued a news release
announcing actions taken to reduce expenses and streamline manufacturing
operations through a headcount reduction of approximately 550 positions,
primarily from manufacturing sites. A copy of the news release is attached as
Exhibit 99.1.
