Item 1.01. Entry into a Material Definitive Agreement
Effective December 30, 2004, American Eagle Outfitters, Inc. (the "Company") adopted the American Eagle Outfitters Deferred Compensation Plan (the "Plan"). The purpose of this Plan is to provide specified benefits to a select group of management or highly compensated Employees who contribute materially to the continued growth, development and future business success of the Company. A copy of the Plan document is attached hereto as exhibit 10.1 and is incorporated herein by reference.
