Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 12, 2010, the Board of Directors of Abercrombie & Fitch Co. (“A&F” or the “Registrant”) elected Ronald A. Robins, Jr. to serve as Senior Vice President, General Counsel and Secretary. Mr. Robins succeeds David S. Cupps, who has served as A&F’s Senior Vice President, General Counsel and Secretary since April 2007 and who will continue to serve A&F as Senior Counsel. Mr. Robins joined the Registrant in November 2009 as Deputy General Counsel after spending 16 years at Vorys, Sater, Seymour and Pease LLP, 13 as a partner in the firm’s corporate and finance practice group. Mr. Robins clerked for The Honorable Milton Pollack of the United States District Court for the Southern District of New York from 1989 to 1990. Before joining Vorys, Mr. Robins practiced for several years as an associate at Davis Polk & Wardwell in New York City.
