Item 3.01		Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

     On October 14, 2010 Compass Diversified Holdings and Compass Group Diversified Holdings LLC (NASDAQ: CODI) (collectively “CODI”) provided written notice to The NASDAQ Stock Market LLC of CODI’s intention to transfer the listing of its shares to the New York Stock Exchange (the “NYSE”) and to voluntarily delist its shares from the NASDAQ Global Select Market in connection with the transfer. CODI expects its shares to commence trading on the NYSE under the stock symbol “CODI” on November 1, 2010. CODI’s shares have been approved for listing on the NYSE, and will continue to trade on the NASDAQ Global Select Market until the transfer is complete.

     A copy of the press release issued by CODI in connection with its move from the NASDAQ Global Select Market to the NYSE is furnished within this report as Exhibit 99.1.
