Explanatory Note

This amendment is filed to correct a clerical error concerning the revised record date for the registrant’s 2005 annual meeting of the stockholders contained in the Current Report on Form 8-K that was filed with the Securities and Exchange Commission on March 3, 2005 (the “Original 8-K). The Original 8-K is hereby amended in its entirety as follows.

Item 8.01. Other Events.

VistaCare, Inc. (the “Company”) disclosed in its Definitive Proxy Statement on Schedule 14A, filed with the Securities and Exchange Commission on January 28, 2005, that its 2005 Annual Meeting of Stockholders would be held on May 5, 2005 and that the record date for purposes of the 2005 Annual Meeting would be the close of business on March 11, 2005. The Company announced yesterday that the record date for the 2005 Annual Meeting will be changed to the close of business on March 21, 2005. The Company plans to file an amendment to its Definitive Proxy Statement on Schedule 14A on or about March 24 to reflect the change of the record date and the number of shares outstanding at the close of business on March 21, 2005.
