     On June 30, 2006, Centrue Financial Corporation and UnionBancorp, Inc. issued a joint press release announcing that they have signed a definitive agreement to join forces in a merger of equals transaction. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
