Item 1.01. Entry into a Material Definitive Agreement.
On May 16, 2005, after consideration of the performance of J. Alexanders Corporation (the Company) and the individuals noted and such other matters and information as deemed appropriate, the Compensation Committee (the Committee) of the Board of Directors of the Company approved the following:
Cash Incentive Performance Program. The J. Alexanders Corporation Cash Incentive Performance Program (CIPP) is intended to provide incentives to the Companys senior executive officers and other executive employees as determined by the Committee in the form of cash bonus payments for achieving certain performance goals established by the Committee. The performance awards will be based on achievement of established earnings before interest, taxes, depreciation, amortization, pre-opening costs and stock option expense as well as other criteria specific to the individual. Actual awards can range from zero to 100% of a participants base salary. The Committee will administer and make all determinations under the CIPP.
