BACKGROUND AND MOTIVATION

In 2015, Black Note, Inc. was launched based on the premise that tobacco products should not contain characterizing flavors, consistent with FDA's September 2009 guidance. Black Note was born to create a naturally extracted tobacco vaping liquid that truly tastes like tobacco to existing cigarette smokers and tobacco users. Black Note focused on delivering real tobacco taste to current adult smokers and using the most responsible methods.

As mentioned, Black Note's inception was based on the guiding principle that vaping products should appeal to current adult smokers only -- and no one else. To this end, Black Note offers only Tobacco and Menthol natural flavorings in its vaping liquids and has stayed consistent with these guiding principles over the years. Since day one, we have steered clear from kid-friendly designs, names, marketing materials, and characterizing flavors that stir up childhood nostalgia and appeal to the underage crowd.

Although Black Note's mission was to help create a smoke-free world by creating a second-best alternative to smoking, getting current smokers to quit altogether was always the first goal (recognizing, of course, that these are not smoking cessation products and carefully steering away from any such claims).

Black Note has always promoted and advocated quitting smoking without using Black Note (i.e., quitting cold turkey or using FDA-approved methods). In April 2019, Black Note registered the trademark, "In business to go out of business" because the company encourages losing customers -- if it means they stop smoking and vaping altogether.

In short, the product was designed to satiate the cravings of current adult tobacco smokers by providing an authentic-tasting tobacco alternative to traditional combusted cigarettes. On September 19, 2019, Black Note submitted a letter to acting FDA commissioner Dr. Norman Sharpless, stating that Black Note's guiding principles and business practices were already in line with what FDA is advocating.
