On June 10, 2004, Pioneer Natural Resources Company issued a news release
that is attached hereto as exhibit 99.1. In the news release, the Company
announced that it has commenced offers to exchange any and all of three series
of its outstanding senior notes for a new series of Senior Notes due 2016 and
cash.
