Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.
(e) On April 30, 2014, the stockholders of CIRCOR International, Inc. (the "Company") approved the 2014 Stock Option and Incentive Plan (the "2014 Plan"). A further description of the 2014 Plan can be found under "Proposal 4 - Approval of 2014 Stock Option and Incentive Plan" in the Company's definitive proxy statement which was filed with the Securities and Exchange Commission on March 21, 2014, which is incorporated herein by reference. The description in the definitive proxy statement is qualified in the entirety by reference to the complete terms and conditions of the 2014 Plan which was filed as Exhibit A to our definitive proxy statement referred to above.

The Company held its 2014 Annual Meeting of Stockholders on April 30, 2014. The proposals before our stockholders and the results of voting on such proposals were as provided below.
