As of February 29, 2004, there were of record 14,113,552 shares of Common Stock, par value $0.01 per share, outstanding, and the aggregate market value of the shares of Common Stock (based upon the closing price on such date as reported on the New York Stock Exchange - Composite Transactions) of Southern Peru Copper Corporation held by non affiliates was approximately $533 million.  As of the above date, there were also 65,900,833 shares of Class A Common Stock, par value $0.01 per share, outstanding. This amendment to the Registrant’s 2003 Annual Report on Form 10-K for the year ended December 31, 2003 is being filed to correct a typographical error contained in Exhibit 23.2 of the Form 10-K filed on March 13, 2004.  Exhibit 23.2, the consent of Deloitte & Touche LLP that was previously filed, stated that it related to our financial statements for the period ended December 31, 2003, a period covered by the consent of another accounting firm.  A corrected consent is attached as an exhibit to this filing.
