Item 5.04.      Temporary Suspension of Trading Under Registrant’s Employee Benefit Plans.

 

On November 23, 2004, Equitable Resources, Inc. (“Equitable”) sent a notice to the directors and executive officers of Equitable informing them that a blackout period with respect to the Equitable Resources, Inc. Employee Savings and Protection Plan and the Equitable Resources, Inc. Savings Plan will be in effect beginning January 7, 2005 for a period expected to end during the week of January 23, 2005.  Equitable provided the notice to its directors and executive officers in accordance with Section 306 of the Sarbanes-Oxley Act of 2002 and Rule 104 of Regulation BTR.  Equitable received the notice required by Section 101(i)(2)(E) of the Employment Retirement Income Security Act of 1974 on November 23, 2004.

 

A copy of the notice is attached as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
