Item 1.01. Entry into a Material Definitive Agreement.
New Plan Excel Realty Trust, Inc. (the “Company”) currently has one active stock incentive plan, the 2003 Stock Incentive Plan (the “2003 Plan”), which provides for the grant of stock options, stock grants and certain other types of stock based awards to officers, directors and certain employees of the Company. The exercise price of stock options granted pursuant to the 2003 Plan is required to be no less than the fair market value of a share of common stock on the date of grant. The vesting schedule and other terms of awards granted under the 2003 Plan are determined at the time of grant by the Company’s executive compensation and stock option committee. Copies of the form of Stock Option Award and Restricted Stock Award are filed as Exhibit 10.1 and Exhibit 10.2 to this Current Report on Form 8-K and are incorporated herein by reference.
