Item 8.01. Other Events.
On October 4, 2010, Carlisle Companies Incorporated (the “Company”) sold its wholly-owned subsidiary, Trail King Industries (“Trail King”) and reported as the Company’s Specialty Products segment, for $35 million subject to a working capital adjustment plus a $5 million earnout potential. The Company expects to report a gain on the sale of approximately $6.3 million in the fourth quarter of 2010. Effective with the quarter ended September 30, 2010, the financial results of Trail King will be reported in Discontinued Operations. A copy of the press release announcing the sale of Trail King is attached hereto as Exhibit 99.1.
