Item 1.01.  Entry into a Definitive Material Agreement.

On April 21, 2005, the Board of Directors of LivePerson, Inc. unanimously approved a policy, effective on the date of the 2005 Annual Meeting, for the payment to non-employee directors of an annual cash fee of $10,000 and a cash fee of $500 for attendance in person or by telephone at each meeting of the Board of Directors or committees of the Board of Directors.
