Item 1.01 - Entry into a Material Definitive Agreement.

On December 7, 2006, RITA Medical Systems, Inc., a Delaware corporation (“RITA”), AngioDynamics, Inc. (“AngioDynamics”), and Royal I, LLC, a Delaware limited liability company and wholly owned subsidiary of AngioDynamics (“Merger Sub”), entered into Amendment No. 1 to the Agreement and Plan of Merger dated December 7, 2006 (the “Amendment”). The Amendment clarifies certain portions of the Agreement and Plan of Merger dated as of November 27, 2006 (the “Merger Agreement”) by and among AngioDynamics, Merger Sub and RITA pursuant to which AngioDynamics will acquire RITA.

The forgoing description of the Amendment and the Merger Agreement and the transactions contemplated thereby does not purport to be complete and is qualified in its entirety by reference to each document. The Amendment is attached as Exhibit 2.1 to this Current Report on Form 8-K and the Merger Agreement is attached as Exhibit 2.1 to the Current Report on Form 8-K filed by RITA with the Securities and Exchange Commission on November 28, 2006.
