If so, attach an explanation of the anticipated change, both narratively and quantitatively, and, if appropriate, state the reasons why a reasonable estimate of the results cannot be made.

As we previously reported in our Current Report on Form 8-K filed on October 26, 2006, effective on October 20, 2006, the Registrant completed a share exchange transaction (the “Share Exchange”) with Hangson Limited, a business company incorporated under the laws of the British Virgin Islands (“Hangson”) and its shareholders which resulted in a change in control of the Registrant and which completely changed the Registrant's operations from the corresponding period for the last fiscal year. Although the Registrant was the surviving legal entity in the Share Exchange, the transaction is accounted for as a reverse acquisition with Hangson deemed as the accounting acquirer. Under the purchase method of accounting, Hangson's historical results will be carried forward and the Registrant's operations will be included in the financial statements commencing on the effective date of the Share Exchange. Accordingly, the amounts of revenue, net profit, assets, liabilities and shareholder's equity will differ significantly from that reported in the previous year’s Form 10-KSB that was filed for the corresponding fiscal year in 2005 as a result of such reverse acquisition accounting. The Registrant is unable to provide an accurate quantitative estimate of the results for the fiscal years ended December 31, 2006 and 2005, as it has not yet completed the information necessary to provide such an estimate. However, the Registrant expects to file its Form 10-KSB Annual Report with such results within the allotted extension period.
