Item 8.01 Other Events.

On April 13, 2007, Coffee Holding Co., Inc. (the “Company”) announced that its Board of Directors authorized a stock repurchase plan pursuant to which the Company may repurchase up to 5.0%, or 276,491 shares, of its common stock outstanding as of April 12, 2007, in either open market or private transactions. The size and timing of these purchases will depend on price, market and business conditions and other factors. The stock repurchase plan is not subject to an expiration date.

A copy of the press release announcing the stock repurchase plan is attached as Exhibit 99.1 hereto.
