Item 8.01. Other Events
On July 11, 2005, Agile Software Corporation (the “Company”) issued a press release announcing that it had filed with the Securities and Exchange Commission a Tender Offer Statement under Section 13(e) of the Securities and Exchange Act of 1934 on Schedule TO relating to an offer to its employees and the employees of certain of its subsidiaries to exchange outstanding stock options for new options, and also announcing that the Company has adopted Statement of Financial Accounting Standards No. 123 (revised 2004) effective as of May 1, 2005. The full text of the Company’s press release is attached hereto as Exhibit 99.1.
