Item 1.01 Entry into a Material Definitive Agreement

 

Executive Compensation — On July 19, 2005, the Company’s Compensation and Management Development Committee (the “Compensation Committee”) approved an annual salary increase for Gregory F. Milzcik, President of Associated Spring and a named executive officer of the Company as determined as of December 31, 2004, from $370,000 to $385,000 effective as of July 1, 2005.
