Item 8.01 Other Events.

The board of directors of the Company has determined that if the Rights Agreement, dated July 30, 2011 (the “Rights Agreement”), between the Company and Broadridge Corporate Issuer Solutions, Inc., as rights agent, has not been terminated by the Company prior to the Company’s 2013 annual meeting of stockholders (the “2013 Annual Meeting”), the Company will include on the ballot for the 2013 Annual Meeting a precatory proposal with respect to the Rights Agreement.
