Pentair Announces Early Termination of HSR Act Waiting Period

for Merger with Tyco International’s Flow Control Business

MINNEAPOLIS — April 25, 2012 — Pentair, Inc. (NYSE: PNR) today announced that it has received notification of early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (HSR Act) in connection with the previously announced proposed transaction to combine the flow control business of Tyco International Ltd. with Pentair in a tax-free, all-stock merger. The expiration of the HSR Act waiting period satisfies one of the conditions to closing of the merger, which remains subject to approval of the spin-off by Tyco shareholders, the approval of the merger by Pentair shareholders, foreign regulatory approvals and other customary closing conditions.
