Item 3.02. Unregistered Sales of Equity Securities

Since January 1, 2013, PG&E Corporation has made equity contributions totaling approximately $300 million to its subsidiary, Pacific Gas and Electric Company (“Utility”), primarily from an equity contribution made on March 4, 2013 funded by proceeds from the offering described in Item 8.01 below, in order to maintain the Utility’s capital structure as authorized by the California Public Utilities Commission (consisting of 52% common equity and 48% debt and preferred stock) and to ensure that the Utility has adequate capital to fund its capital expenditures.

Item 8.01. Other Events

On March 4, 2013, PG&E Corporation completed, pursuant to an Underwriting Agreement with Barclays Capital Inc., the sale of 7,200,000 shares of its common stock, no par value (the “Shares”). The Shares were registered under the Securities Act of 1933 pursuant to a registration statement on Form S-3 (File No. 333-172393) that was filed with the Securities and Exchange Commission on February 23, 2011.
