Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 15, 2015, the Board of Directors of Consolidated Edison, Inc. (“Con Edison”) and the Board of Trustees of Consolidated Edison Company of New York, Inc. each elected Ms. Linda S. Sanford as a member of the Board and appointed her to the Environment, Health and Safety Committee, the Finance Committee and the Planning Committee of the Board. Ms. Sanford is the retired Senior Vice President, Enterprise Transformation of International Business Machines Corporation. Ms. Sanford will participate in the compensation arrangements described under “Director Compensation” in Con Edison’s proxy statement for its 2014 annual meeting of stockholders (filed with the Securities and Exchange Commission on April 8, 2014).
