Explanatory Note

On June 17, 2015, Home BancShares, Inc., an Arkansas corporation (“Home”) filed a Current Report on Form 8-K (the “Report”) announcing the signing of a definitive agreement under which Home will acquire Florida Business BancGroup, Inc., a Florida corporation (“FBBI”), and its bank subsidiary, Bay Cities Bank (“BC Bank”), a Florida state bank headquartered in Tampa, Florida.

This Current Report on Form 8-K/A (the “Amendment”) amends and supplements the disclosure provided in the Report. Except as otherwise provided herein, the other disclosures made in the Report remain unchanged.

Item 1.01 Entry Into a Material Definitive Agreement

On June 17, 2015, Home and its wholly-owned bank subsidiary, Centennial Bank, an Arkansas state bank (“Centennial”), entered into an Agreement and Plan of Merger (the “Agreement”) with FBBI and BC Bank, under which Home and Centennial will acquire FBBI and BC Bank. The Agreement provides that, in a series of transactions, FBBI will merge into Home, and BC Bank will merge into Centennial (collectively, the “Merger”).

Under the terms of the Agreement, shareholders of FBBI will receive, in the aggregate, proceeds from the transaction of approximately $101.6 million as a combination of both Home common stock and cash, split 80% and 20%, respectively. The number of shares of Home common stock to be issued to FBBI shareholders will be determined based on the average closing price of Home common stock for the 20 trading days immediately prior to the closing date (the “Average Closing Price”). In addition, if the Average Closing Price of the Home common stock as of the closing date is equal to $39.12 or greater or $28.92 or less, then the Average Closing Price will be fixed at $39.12 or $28.92, respectively (subject in each case to adjustment in the


event of a stock dividend, reclassification, recapitalization, split-up, combination, exchange of shares or similar transaction). The Merger is expected to close late in the third quarter or early in the fourth quarter of 2015, and is subject to the approval of the shareholders of FBBI, regulatory approvals, and other conditions set forth in the Agreement.

Upon completion of the Merger, the combined company will have approximately $8.5 billion in total assets, $6.4 billion in deposits, $5.8 billion in loans and 156 branch locations in Arkansas, Florida and South Alabama and a loan production office in New York City.
