ITEM 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 26, 2018, Robert J. Morse resigned as President of Hospitality of Caesars Entertainment Corporation (the “Company”). Mr. Morse and a subsidiary of the Company entered into a separation agreement pursuant to which, in exchange for a customary release (and provided the agreement is not revoked during the seven-day revocation period), such subsidiary will pay Mr. Morse $1.425 million, payable over eighteen months. Mr. Morse will be bound by certain non-solicitation and non-competition covenants in favor of the Company for a period of eighteen months.
