ITEM 5.02 Departure of Directors or Principal Officers; Election of Directors;
Appointment of Principal Officers.
On October 13, 2004, Philippe Magistretti resigned from the Registrant's
board of directors. Mr. Magistretti may continue to provide services to the
Registrant as a consultant.
