Item 8.01. Other Events

On July 5, 2011, China Security & Surveillance Technology, Inc. (the “Company”) issued a press release relating to the expiration of the “go-shop” period in connection with its previously announced Amended and Restated Agreement and Plan of Merger, entered into on May 3, 2011. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
