Item 8.01 Other Events.

On August 5, 2009, ConAgra Foods Lamb Weston, Inc., a subsidiary of ConAgra Foods, Inc., issued the press release attached as exhibit 99.1 announcing an investment in a new sweet potato processing plant. ConAgra Foods will comment on the impact of this strategic investment on its expectations for fiscal 2010 capital expenditures in its next regularly scheduled earnings release.
