MKS Instruments, Inc. (the “Company”) held its Annual Meeting of Shareholders on May 3, 2010 (“Annual Meeting”). The following sets forth the results of voting by stockholders at the Annual Meeting:

  a)   Election of three Class II Directors to serve for a three year term and until their successors are elected:

There were no broker non-votes for this proposal.
