Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(b)  On February 18, 2008, Nirendu Dhar, General Manager of H & L Tool Company, Inc., a subsidiary of Chicago Rivet & Machine Co. (the "Company"), and a member of the Company's Board of Directors  resigned from the Board of Directions effective as of May 13, 2008, the date of the Company's 2008 annual meeting of shareholders.  Mr. Dhar also indicated that he intends to retire as General Manager of H & L Tool Company, Inc. effective as of April 30, 2009.
