Comtech Telecommunications Corp. (“Comtech” or the “Company”) is filing the material contained in this Schedule 14A with the Securities and Exchange Commission (the “SEC”) in connection with the solicitation of proxies for the election of its slate of director nominees at the upcoming Fiscal 2011 Annual Meeting of Stockholders (the “Annual Meeting”) of Comtech.  On November 14, 2011, Comtech filed with the SEC a preliminary proxy statement in connection with the Annual Meeting.
 
On November 18, 2011 Comtech received a letter from MMI Investments, L.P., stating that it is withdrawing its slate of director nominees for election to Comtech’s Board of Directors at the Annual Meeting.
