On October 12, 2006, Isle of Capri Casinos, Inc. (the “Company”) inadvertently filed a Form 8-K under Item 1.01 rather than Item 8.01 to report the amendment of its agreement with resort developer Eighth Wonder. This Form 8-K/A Amendment No. 1 is being filed to correctly report the amendment under Item 8.01.

Item 8.01. Other Events.
 
On October 10, 2006, the Company announced that it had amended its agreement with resort developer Eighth Wonder in connection with the proposal to build a resort complex on Sentosa Island in Singapore. Under the revised agreement dated October 8, 2006, the Company has amended its share of equity ownership and has entered into a revenue sharing agreement.
