Item 7.01 Regulation FD Disclosure.

     On November 5, 2008, Lithia Motors, Inc. issued a press release announcing the sale of its Ford dealership and Mercedes Benz dealership, both located in Omaha, Nebraska, to Omaha’s Performance Automotive Group; and the sale of its Chrysler Jeep Dodge dealership, located in Butte, Montana, to Tom Snellman of Billings Nissan. A copy of the press release is attached as Exhibit 99.1.
