Item 8.01  Other Events.

 

           On April 27, 2011, the Company issued a press release announcing that the Board of Directors approved a dividend of $0.07 per share for the first quarter of 2011. Lithia will pay the dividend May 25, 2011, to shareholders of record on May 11, 2011. A copy of the press release is attached as Exhibit 99.1.
